1. Agreement to Terms

By accessing or using IQBiz services ("Services"), provided by SV Konsult SRL, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use our Services.

These Terms apply to all visitors, users, and others who access or use our automation services, including our n8n, Make, and Zapier implementation solutions.

  • Consulting and training services
  • Ongoing support and maintenance

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in activities that may harm our services or other users.

4. Acceptable Use Policy

You agree not to use our Services for any purpose that is prohibited by these Terms or applicable law. Prohibited uses include but are not limited to:

  • Violating any applicable laws or regulations
  • Infringing on intellectual property rights
  • Engaging in fraudulent or deceptive practices
  • Transmitting malicious code or viruses

5. Service Availability and Performance

5.1 Uptime Commitment

We strive to maintain 99.9% uptime for our automation services, excluding scheduled maintenance periods. However, we do not guarantee uninterrupted service and are not liable for temporary unavailability.

5.2 Maintenance and Updates

We reserve the right to perform scheduled maintenance, updates, and improvements to our Services. We will provide reasonable notice for planned maintenance that may affect service availability.

5.3 Service Modifications

We may modify, suspend, or discontinue any aspect of our Services at any time. We will provide reasonable notice of material changes that may affect your use of the Services.

6. Payment Terms and Billing

6.1 Service Fees

Fees for our Services are outlined in your service agreement or project proposal. All fees are non-refundable unless otherwise specified in writing.

6.2 Payment Schedule

Payment terms vary by service type:

  • Project-based services: As outlined in project agreement
  • Ongoing services: Monthly or quarterly billing cycles
  • Consulting services: As agreed upon in engagement letter

6.3 Late Payments

Late payments may result in service suspension and additional fees. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum allowed by law, whichever is lower.

We may change our pricing with 30 days' written notice. Price changes will not affect existing contracts until renewal.

7. Intellectual Property Rights

IQBiz retains all rights, title, and interest in our Services, including our automation frameworks, methodologies, and proprietary tools. You receive a limited, non-exclusive license to use our Services in accordance with these Terms.

7.2 Your Rights

You retain ownership of your data and business processes. By using our Services, you grant us a limited license to access and use your data solely for the purpose of providing our Services.

7.3 Custom Developments

Rights to custom automation workflows and integrations developed specifically for your business will be governed by your service agreement.

8. Data Protection and Privacy

8.1 Data Security

We implement industry-standard security measures to protect your data. However, no system is completely secure, and you acknowledge the inherent risks of data transmission and storage.

8.2 Data Backup

While we maintain backup systems, you are responsible for maintaining your own backups of critical data and configurations.

8.3 Privacy Policy

Our data collection and use practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Integrations

9.1 Platform Dependencies

Our Services often integrate with third-party platforms (n8n, Make, Zapier, etc.). Your use of these platforms is subject to their respective terms of service.

9.2 Third-Party Changes

We are not responsible for changes to third-party platforms that may affect your automation workflows. We will make reasonable efforts to adapt to such changes.

9.3 API Limitations

Third-party API limitations, rate limits, or access restrictions may affect service performance. Such limitations are beyond our control.

10. Limitation of Liability

10.1 Service Limitations

Our Services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

10.2 Liability Cap

To the maximum extent permitted by law, our total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount paid by you for the Services in the 12 months preceding the claim.

10.3 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption.

11. Indemnification

You agree to indemnify and hold IQBiz harmless from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your use of our Services in violation of applicable law
  • Infringement of third-party rights by your data or content
  • Unauthorized use of your account credentials

12. Term and Termination

12.1 Term

These Terms remain in effect while you use our Services or until terminated in accordance with these provisions.

You may terminate your use of our Services at any time by discontinuing use and notifying us in writing. Termination does not relieve you of payment obligations for services already provided.

We may terminate your access to our Services immediately if you breach these Terms or engage in activities that may harm our business or other users.

12.4 Effect of Termination

Upon termination, your access to our Services will cease, and we may delete your data after a reasonable transition period. Provisions that by their nature should survive termination will remain in effect.

13. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where IQBiz is incorporated, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration, except for claims seeking injunctive relief, which may be brought in court.

14.3 Class Action Waiver

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class action or collective proceeding.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

  • Email notification to registered users
  • Prominent notice on our website
  • In-service notifications for active users

Continued use of our Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The unenforceable provision will be replaced with a similar provision that is enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and IQBiz regarding your use of our Services.
